Terms of Service

1. About Keymetrics

Keymetrics is a healthcare governance platform operated by Keymetrics Ltd ("we", "us", "our"), an Irish company. The platform is used by Irish nursing homes and hospitals to manage HIQA-related audits, incidents, action plans, training records, and policies.

By creating an account, signing in, or otherwise using the platform, you ("you", "the customer") agree to these Terms of Service and our Privacy Notice.

2. Free trial

New tenants get a 14-day free trial of the Starter plan, no credit card required at sign-up. After 14 days, the tenant is suspended unless a paid subscription is started. Suspended tenants retain their data for 30 days, after which the tenant schema is permanently dropped (see Privacy Notice § Deletion).

3. Subscription & billing

Paid plans are billed monthly in advance via Stripe (Phase 1+) or by manual invoice (Phase 0). Prices are listed at keymetrics.ie/#pricing and exclude VAT. We may change prices with 30 days' notice; existing subscribers are grandfathered for the remainder of their billing period.

All payments are non-refundable except where required by Irish consumer protection law.

4. Acceptable use

You agree not to:

  • Use the platform for anything other than legitimate healthcare governance for your facility.
  • Upload data you do not have a lawful basis to process (see Privacy Notice).
  • Reverse engineer, decompile, or attempt to extract source code from the platform.
  • Resell access to the platform without a written reseller agreement.
  • Attempt to access other tenants' data, probe for vulnerabilities, or run security scans without written permission.
  • Use automated tools to scrape, replicate, or overload the platform.

Violation of acceptable use may result in immediate suspension. Suspected criminal activity will be reported to An Garda Síochána.

5. Your data

You own your data. Anything you or your users enter into Keymetrics (residents, audit responses, incidents, action plans, evidence files, etc.) remains your property. We process it on your behalf as a data processor under the GDPR, and a Data Processing Agreement (DPA) is available on request.

We may use aggregated, anonymised data (e.g. average audit completion time across all tenants) for product improvement and benchmarking. We never sell your data, never share it with third parties for advertising, and never use AI training on your data without explicit opt-in consent.

6. Availability & SLA

We target 99.9% monthly uptime, measured against the public health endpoint. Planned maintenance windows are announced at least 48 hours in advance and scheduled outside 01:00–05:00 Irish time. Enterprise plans (Phase 1+) may include a contractual SLA with service credits for missed availability targets.

We are not liable for outages caused by your network, third-party providers (Hetzner, Cloudflare, Postmark, etc.), force majeure events, or actions you take that disable your tenant.

7. Termination

You may cancel at any time from Account → Cancel subscription. After cancellation:

  • Service continues until the end of the current billing period.
  • You can export all your data via Account → Export (GDPR Article 20).
  • Tenant data is retained for 30 days, then permanently dropped.

We may terminate your account immediately for breach of these terms, non-payment, or insolvency. We will give you 7 days' notice and a chance to export your data, except in cases of clear acceptable-use violations or security incidents.

8. Liability

To the maximum extent permitted by Irish law, our total liability to you for any claim arising out of these terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages.

Important: Keymetrics is a tool to support your governance processes. It does not replace your professional judgement, your registration as a designated person under Irish law, or your obligations to HIQA, the HSE, or any regulator. You remain solely responsible for the care decisions you make and the regulatory returns you file.

9. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email to the tenant_admin at least 30 days in advance. Continued use after the effective date constitutes acceptance.

10. Governing law

These terms are governed by Irish law. Any dispute arising under or in connection with these terms is subject to the exclusive jurisdiction of the Irish courts.
